These Terms of Service (the "Terms") are a binding agreement between you and Ment Tech Labs Private Limited, a company incorporated in India (CIN U62099MP2023PTC064895) with its registered office at 8 Sarswati Nagar, Annapurna Road, Indore CGO Complex, Indore, Madhya Pradesh 452001, India ("Ment Labs", "we", "us" or "our"). They govern your use of Social Agent by Ment Labs and the Agents Hub platform, available at app.ment.tech and related domains (the "Service").
By ticking the box at sign-in, creating an account or using the Service you accept these Terms, our Privacy Policy, our Refund and Cancellation Policy and our Cookie Policy, each of which is incorporated by reference. If you are using the Service on behalf of a company or other entity, you confirm that you have authority to bind that entity, and "you" means that entity.
If you do not agree, do not use the Service.
1. What the Service Is
Social Agent is an AI-driven social media autopilot. It learns about your business from material you provide, connects to social media accounts you own or administer (currently X, LinkedIn, Instagram and Facebook Pages), researches your niche, plans a content calendar, generates posts (text, images, carousels and short videos, including clips cut from recordings you upload to the Library and videos made with generative or presenter models) and publishes them through each platform's official API on the schedule you set. You can run it fully automatically or require approval before each post.
The Service is a tool. It does not replace your judgement about what to say publicly on behalf of your business.
2. Eligibility and Accounts
2.1You must be at least 18 years old and able to form a binding contract.
2.2You sign in with Google or with a one-time link sent to your email. You are responsible for the security of the Google account and email address you use and for all activity in your workspace. Tell us at support@ment.tech immediately if you suspect unauthorised access.
2.3Each account owns at least one workspace. On plans that allow several seats you may invite members and assign roles. You are responsible for your members' conduct.
2.4You must provide accurate account and billing information and keep it current. For Indian customers who want GST invoices, you must provide a valid GSTIN.
3. Subscriptions, Trials and Billing
3.1Plans. The Service is sold per workspace and per agent in tiered plans (currently Starter, Growth and Pro; an Agency plan is available by arrangement with our sales team). Each plan sets limits on connected channels, campaigns, posts per month, AI credits per month, seats and video. Current prices and limits are shown in the product under Settings, Billing and on www.ment.tech/social-agent. Prices are in INR and include GST. Prices in other currencies, where we offer them later, are exclusive of applicable taxes, which are added at checkout.
3.2Trial. New workspaces get a 7-day free trial with Growth features, 100 credits and up to 3 channels. No card is required. When the trial ends, or when trial credits run out, campaigns pause until you subscribe.
3.3Billing cycle. Subscriptions renew automatically monthly or annually until cancelled. Annual plans are billed up front and include two months free compared with monthly billing. By subscribing you authorise us and our payment processor (Razorpay for INR; Stripe if we offer other currencies later) to charge your chosen payment method at each renewal, including through UPI Autopay, card mandates or e-mandates where you set them up.
3.4Changes. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period. We may change prices with at least 30 days' notice by email; the new price applies from your next renewal after the notice period.
3.5Failed payments. If a renewal payment fails we retry and remind you by email over 7 days. If it is still unpaid after 7 days, autopilot pauses until the payment goes through. We may suspend a workspace that stays unpaid. Your data stays in place while a workspace is paused or suspended; you can delete it at any time as described in our Data Deletion page.
3.6Refunds and cancellation are governed by the Refund and Cancellation Policy at app.ment.tech/legal/refunds.
3.7Taxes. You are responsible for any taxes, duties or withholding that apply to your purchase, other than taxes on our income. If you are required by law to withhold tax, you must gross up the payment so that we receive the full amount invoiced.
4. Credits
4.1AI work in the Service is metered in credits. Each plan includes a monthly credit allowance that resets at the start of each billing period; unused plan credits do not roll over. Overage packs (for example 100 credits) may be bought on any paid plan and carry over while your subscription is active. Plans also include a monthly video allowance (currently 10 videos on Starter, 60 on Growth and 150 on Pro; a clip cut from your own footage counts as one video whatever the number of channels) and Library limits for storage and minutes of footage analysed each month. Generative and avatar video run on our credits on Pro and Agency, and on your own provider key on Growth, Pro and Agency.
4.2The credit cost of each format (for example 1 for a text post, 3 for an image, 6 for a carousel, 20 for a stock video, a price per second for generative and avatar video, and a price per minute to analyse your footage) is shown in the product before you use it and may change with notice. Credits are consumed when content is generated, whether or not you later approve, edit or publish it.
4.3By default the Service uses Ment Labs' own accounts with its AI and video providers, and that use is what credits measure. You may instead add your own API key for a supported provider in Settings, Integrations or Settings, Video Providers ("bring your own key"). Your own key is always optional. While your key works, that provider bills you under your own agreement with it and its usage is not metered in credits; platform fees shown in the product (for example for rendering a video made on your key, analysing footage or rendering a clip) are still charged in credits. If your key stops working, we do not switch to our accounts unless your workspace owner has turned that on. We do not offer sign-in with a consumer AI subscription.
4.4Credits have no cash value, cannot be transferred between workspaces or refunded except as stated in the Refund and Cancellation Policy, and expire when your subscription ends.
5. Connecting Social Accounts and Platform Policies
5.1You may connect only accounts, Pages and organisation pages that you own or are authorised to administer. You grant us permission to act on those accounts through the platforms' official APIs on your instructions, including instructions given by setting up an autopilot campaign.
5.2Your use of each platform through the Service is subject to that platform's terms and policies, including:
- Meta Platform Terms, Facebook Community Standards, Instagram Community Guidelines and the Instagram Platform Policy;
- LinkedIn User Agreement, Professional Community Policies and API Terms of Use;
- X Terms of Service, Rules and Developer Agreement and Policy;
You must comply with them. We may limit, pause or disable features to keep the Service compliant with platform rules or rate limits, and we may be required by a platform to remove content or revoke access.
5.3Platforms change their APIs, policies, limits and availability without notice to us. We do not guarantee that any platform will remain supported or that any feature will keep working if a platform changes.
5.4You are responsible for keeping your connections healthy. The Service will tell you when a token is expiring or revoked; until you reconnect, posts to that account will fail.
6. Acceptable Use
You agree not to use the Service to:
- publish content that is unlawful, defamatory, deceptive, infringing, obscene, hateful, harassing, or that promotes violence or self-harm;
- publish spam, bulk unsolicited content, engagement bait, or content designed to manipulate platform metrics;
- impersonate any person or organisation or misrepresent your affiliation;
- post on accounts you do not own or administer, or connect accounts without the owner's authority;
- publish false claims about products, prices, health benefits, financial returns or similar regulated matters;
- upload Brand Brain sources you do not have the right to use, or that contain personal data you have no lawful basis to process;
- upload recordings you do not own or have a licence to use, recordings of people who have not agreed to appear in your marketing, or recordings of children without the permission of a parent or guardian;
- remove or hide another person's watermark, copyright notice or provenance information, or attest that a recording is your own when it is not;
- create or try to create video or audio that imitates a real person's appearance or voice without that person's consent;
- scrape, probe or overload the Service or any platform, circumvent rate limits, or reverse engineer the Service except where the law allows;
- resell or white-label the Service without a written agreement with us;
- use the Service to build a competing product, or to train a machine learning model on our outputs in bulk;
- introduce malware or attempt to access other customers' workspaces.
We may remove content, pause campaigns, or suspend or terminate accounts that breach this section, and we may report unlawful activity to authorities.
7. Your Content and Licence
7.1You own your content. You keep all rights in the material you upload (Brand Brain sources, logos, colours, past posts) and in the posts the Service generates for you, to the extent the law recognises rights in AI-generated material.
7.2Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and modify your content solely to provide, secure and improve the Service for you, including sending it to the AI, media and platform providers listed in the Privacy Policy. This licence ends when you delete the content or your workspace, except for copies in backups for up to 30 days and copies the platforms have already received.
7.3Feedback. If you send us ideas or suggestions, we may use them without obligation to you.
7.4Our property. The Service, including its software, agent workflows, prompts, templates, design, trademarks ("Ment Labs", "Social Agent by Ment Labs", "Agents Hub", "Aura") and documentation, belongs to us or our licensors. These Terms give you a limited, revocable, non-transferable right to use the Service during your subscription. No other rights are granted.
7.5Stock media. Stock photos and clips come from Pexels under the Pexels licence; voices from ElevenLabs under its terms. These may be used in posts created through the Service but not extracted for other uses.
7.6Recordings you upload. When you upload or import a recording to the Library you confirm that you own it or have a licence to use it as marketing content, and that you have the permissions and releases needed from everyone who can be seen or heard in it. When you mark a recording as a testimonial, or confirm consent or rights in the product, you confirm that you hold that person's permission and can show it on request. When you confirm that a recording is your own so that a platform watermark can be removed, you confirm that the recording was made by you or your business. We may block a recording from posts when our checks find another company's watermark, a possible child, or personal data on screen, until you confirm you have the rights. We cut and frame your recordings; we never make a person in them say words they did not say.
8. AI Output
8.1The Service uses large language models and image and video generation models from third parties. Output is generated automatically and is not reviewed by a human at Ment Labs before it is shown to you or, in autopilot mode, published.
8.2AI output may be inaccurate, incomplete, biased, out of date, or may resemble content produced for others. It may contain claims your business cannot support, mention competitors, misquote prices, or use language you would not choose. The Service includes a compliance check and a critic step, but these reduce risk and do not eliminate it.
8.3You are responsible for everything published to your accounts, whether in autopilot or approval mode. You should review posts, use approval mode for sensitive topics, set topics to avoid, and keep your Brand Brain accurate. We recommend approval mode for regulated industries (finance, healthcare, legal, alcohol, gambling and similar).
8.4We make no representation that AI output is free from third-party intellectual property claims. Where our providers offer indemnities for their output we will pass through what we are able to; otherwise Section 12 applies.
8.5Output is not professional advice. Nothing the Service writes is legal, financial, medical or other professional advice, to you or to your audience.
8.6AI-generated video and voice. Videos made with generative or presenter (avatar) models, and voiceovers made with AI voices, are AI-generated. We set the platform's AI-content label where the platform's API offers one and add a short disclosure to the caption where we use an AI voice. You must not remove these labels or present AI-generated people or voices as real, and you are responsible for any further disclosure the law or the platform requires where your audience is.
9. No Guarantee of Reach or Results
Social media reach depends on platform algorithms, audience behaviour, timing, competition and factors outside our control. We do not guarantee any level of impressions, reach, engagement, followers, leads, sales, or that any post will be published at exactly the scheduled time or will be accepted by a platform. Performance figures in the product are reported from platform APIs and may be delayed, incomplete, or revised by the platform. Any examples or benchmarks on our website are illustrative.
10. Availability, Changes and Support
10.1We aim for high availability but the Service is provided on an "as available" basis. Scheduled maintenance will be announced where practical. Third-party outages (AI providers, platforms, hosting) can interrupt the Service.
10.2We may add, change or remove features, limits and supported platforms. We will give reasonable notice of changes that materially reduce the Service for paying customers.
10.3Support is by email at support@ment.tech during Indian business hours (Monday to Friday, 10:00 to 18:00 IST), with a best-effort reply within one business day. Agency plans may include different support terms.
11. Suspension and Termination
11.1By you. You may cancel your subscription at any time from Settings, Billing; cancellation takes effect at the end of the current billing period. You may delete your workspace at any time from Settings, Danger Zone, which cancels its plans and stops the Service for that workspace at once; the data is deleted for good after a 30 day grace period, as described in our Data Deletion page.
11.2By us. We may suspend or terminate your access, with notice where practical, if you breach these Terms or a platform policy, if your payment is overdue, if a platform or authority requires it, if we reasonably believe your use creates legal or security risk, or if we discontinue the Service (with at least 60 days' notice to paying customers and a pro rata refund of any prepaid, unused period).
11.3Effect. On termination your right to use the Service ends, campaigns stop, tokens are deleted, and data is deleted under the Privacy Policy. Posts already published remain on the platforms. Sections 7.3, 7.4, 8, 9, 12, 13, 14, 15 and any payment obligations survive.
12. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available", and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that AI output will be accurate, appropriate or lawful, that posts will be published, or that any result will be achieved. Nothing in these Terms limits rights you have as a consumer under mandatory law.
13. Limitation of Liability
13.1To the fullest extent the law allows, neither we nor our directors, employees, contractors or suppliers will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity, or for the cost of substitute services, arising out of or related to the Service or these Terms, even if advised of the possibility.
13.2Our total aggregate liability for all claims arising out of or related to the Service or these Terms in any 12-month period will not exceed the fees you paid us for the Service in that 12-month period, or INR 10,000 (ten thousand rupees) if you have paid no fees.
13.3These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
13.4We are not liable for actions taken by a platform against your account (including restriction, suspension or removal of content) that result from content you approved, content published under an autopilot campaign you configured, or your breach of that platform's policies.
14. Indemnity
You will defend, indemnify and hold harmless Ment Labs and its directors, employees and contractors from any claim, demand, loss or expense (including reasonable legal fees) arising from: your content and Brand Brain sources; posts published to your accounts through the Service; your breach of these Terms or any platform policy; or your violation of any law or third-party right. We will notify you of the claim and let you control the defence, provided you do not settle in a way that admits fault or imposes obligations on us without our consent.
15. Governing Law, Jurisdiction and Dispute Resolution
15.1These Terms are governed by the laws of India, without regard to conflict of law rules.
15.2Negotiation first. Before starting any formal proceeding, either party will notify the other in writing of the dispute and the parties will try in good faith to resolve it within 30 days.
15.3Arbitration (optional for consumers). Any dispute that is not resolved by negotiation will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement or, failing agreement within 30 days, in accordance with Section 11 of that Act. The seat and venue of arbitration will be Indore, Madhya Pradesh, India, and the language will be English. The award will be final and binding. If you are an individual consumer, this arbitration clause does not prevent you from approaching a consumer forum where the law gives you that right.
15.4Courts. Subject to Section 15.3, the courts at Indore, Madhya Pradesh, India have exclusive jurisdiction. Either party may seek interim or injunctive relief from a court of competent jurisdiction to protect intellectual property or confidential information.
15.5Business customers outside India agree that this clause applies regardless of where they are located.
16. General
16.1Entire agreement. These Terms, with the documents incorporated by reference and any order form or Data Processing Addendum signed with a business customer, are the entire agreement about the Service and replace any earlier agreement. In case of conflict, a signed order form or DPA prevails over these Terms for the matters it covers.
16.2Changes to the Terms. We may update these Terms. We will post the new version at app.ment.tech/legal/terms and, for material changes, notify account holders at least 14 days before they take effect. If you do not agree, cancel before the effective date; continued use means acceptance.
16.3Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or a successor in a merger, acquisition or sale of assets.
16.4Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including platform outages, provider outages, internet failures, government action, or natural events.
16.5Severability and waiver. If any provision is unenforceable the rest remains in force. A failure to enforce a provision is not a waiver.
16.6Notices. We send notices to the email on your account. You send notices to contact@ment.tech or by post to our registered office.
16.7Export and sanctions. You confirm you are not located in, and will not use the Service from, a country subject to comprehensive sanctions, and are not on any sanctions list.
16.8Relationship. The parties are independent contractors. No partnership, agency or employment is created.
